Terms of Service

These Terms govern your use of the MarginShield true-margin platform, operated by A2E Group Pty Ltd (ABN held on file), trading as MarginShield. By creating an account you agree to these Terms.

1. The service

MarginShield is a true-margin operating layer for retail. The service includes:

  • A deterministic margin engine that combines invoice cost, landed cost, fulfilment cost, payment-processing fees, supplier rebates, and attachment economics into a single true-margin number.
  • The Decision Desk for in-context recommendations (approve / counter / bundle / substitute / manager approval / decline).
  • The Scenarios Lab for portfolio-level what-if modelling.
  • Rebates and supplier-funding management, including volume, growth, scanback, MDF, prompt-pay, and lump-sum rules.
  • An approvals queue with append-only audit-event tracing.
  • Competitor price monitoring and an optional voice price-discovery surface.
  • Multi-site and buying-group clean-room features on higher tiers.

MarginShield computes margin and surfaces decisions. MarginShield does not move money, hold customer funds, execute supplier payments, or act as a financial adviser.

2. Accounts

You must provide accurate registration information and keep it current. You are responsible for activity on your account and for protecting your credentials. The first user in an organisation becomes the owner with the authority to invite others and grant approval rights.

3. Subscriptions & billing

Paid plans are billed in advance — monthly or annually — via Stripe. Pricing tiers (Free, Pro, Business, Multi-Site at A$799/site/month, and Enterprise) are published on the pricing section. You may cancel at any time; cancellation takes effect at the end of the current billing period. Paid tiers include a 30-day money-back guarantee from first charge.

Pricing displayed in AUD excludes GST unless explicitly stated. Tax invoices are emailed automatically by Stripe.

4. Acceptable use

You agree not to:

  • Use MarginShield to break any law, including the Competition and Consumer Act 2010 (Cth) — specifically no price-fixing, no horizontal price-coordination, and no use of buying-group clean rooms to circumvent competition law.
  • Reverse-engineer, decompile, or attempt to extract the deterministic engine's source.
  • Scrape competitor sites in violation of their terms or applicable law.
  • Resell, sublicense, or expose the API to third parties without a written commercial agreement.
  • Upload data you do not have the right to process, including sensitive personal information or third-party trade secrets.

5. Your data

You retain ownership of all data you upload — product catalog, costs, supplier agreements, decisions. You grant MarginShield a limited licence to host, process and display that data solely to operate the service for you. MarginShield does not train AI models on your data.

Privacy handling is governed by our Privacy Policy and our Data Processing Agreement. Security posture is published at /security.

6. AI explanations

MarginShield uses large language models (currently Anthropic Claude) to narrate the deterministic engine's output in plain English. The margin calculation itself is never delegated to an AI model — it is auditable code. Narrative output should be read as commentary, not as a substitute for professional advice (pricing, tax, legal, financial).

7. Service levels & availability

MarginShield targets 99.5% monthly availability on Free and Pro tiers, and 99.9% on Business and above. Service credits and a contractual SLA are available on Multi-Site and Enterprise. Planned maintenance is announced in advance via in-app notification.

8. Disclaimers & limits

MarginShield is provided on an “as is” basis. We make no warranty that your use of MarginShield will increase margin, comply with every regulation, or avoid every commercial loss. Pricing, tax, and competition-law decisions remain yours. To the extent permitted by law, our aggregate liability for any claim is capped at the fees you paid in the 12 months preceding the claim.

Nothing in these Terms excludes or limits rights you have under the Australian Consumer Law that cannot lawfully be excluded.

9. Termination

You may cancel at any time. We may suspend or terminate accounts for material breach of these Terms (notice and cure where reasonable; immediate for security or legal risk). On termination you can export your data via the available endpoints for 30 days; see the DPA for deletion timelines.

10. Governing law

These Terms are governed by the laws of New South Wales, Australia. Disputes are subject to the exclusive jurisdiction of the courts of New South Wales, except where mandatory consumer-law provisions apply.

11. Changes

We may update these Terms as the service evolves. Material changes will be notified by email and surfaced in-app at least 14 days before they take effect. Continued use after that date constitutes acceptance.
